Representations and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, any controlling person of any Underwriter or the Company, and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters and the Representative, as the case may be.

All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the applicable Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the respective indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, or any controlling person of any Underwriter or the Company, and shall survive termination of this Agreement or and the issuance and delivery of the Securities to the Underwriters and the Representative's Securities to the Representative, as the case may be.

Representations and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company or of the Sellers submitted pursuant hereto, shall be deemed to be representations, . warranties and agreements at the Closing Date and the Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the Sellers and the indemnity agreements contained in Section 7 8 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, the Sellers or any controlling person of any Underwriter or the Companyperson, and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters and the Representative, as the case may beUnderwriter.

All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Subsequent Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriterthe Placement Agent, the Company, or any controlling person of any Underwriter or the Companyperson, and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters and the Representative, as the case may bePlacement Agent.

Representations and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, any controlling person of any Underwriter or the Company, and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters Underwriters, the Representatives and the RepresentativeNBC Multimedia, as the case may be.

Representations and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Overallotment Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the Underwriter and the indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any the Underwriter, the Company, or any controlling person of any Underwriter or the Companyperson, and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters and Underwriter for a period of the Representative, as latter of two (2) years or the case may beapplicable statute of limitations without regard to tolling.

All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company or the Adviser submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the respective indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any the Underwriter, the Company, the Adviser, any controlling person of any Underwriter the Underwriter, the Company or the CompanyAdviser, and shall survive termination of this Agreement or the issuance and delivery of the Securities Shares to the Underwriters and the Representative, as the case may beUnderwriter.

In addition, the representations contained in Section 1 hereof and the agreements contained in Sections 5, 7 and 10(b) hereof shall survive the termination of this Agreement.

Representations and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the indemnity agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, Company or any controlling person of any the Underwriter or the Company, and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters and the Representative, as the case may beUnderwriter.

All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and the Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the indemnity agreements contained in Section 7 8 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, any controlling person of any Underwriter or the Company, and shall survive termination of this Agreement or the issuance and delivery of the Offering Securities to the Underwriters and the Representative, as the case may be.

All representations, warranties and agreements contained in this Agreement or contained in certificates of officers of the Company submitted pursuant hereto, hereto shall be deemed to be representations, warranties and agreements at the Closing Date and the each Option Closing Date, as the case may be, and such representations, warranties and the agreements of the Company and the provisions with respect to the payment of expenses contained in Sections 5 and 9 and the respective indemnity agreements contained in Section 7 hereof, hereof shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriterthe Initial Purchaser, the Company, any of the Subsidiaries or any controlling person of any Underwriter or the Companyperson, and shall survive termination of this Agreement or the issuance and delivery of the Securities Debentures to the Underwriters and the Representative, as the case may beInitial Purchaser.
