REPRESENTATIONS AND WARRANTIES BY SELLER AND XXXXXX. Each Seller and Xxxxxx jointly and severally represent and warrant to Buyer as follows, in each case subject to such exceptions as are set forth in Sellers' and Xxxxxx'x attached disclosure schedules, contemplated by that section. . Each exception set forth in Sellers' and Xxxxxx'x disclosure schedules will be deemed to qualify each representation and warranty of Sellers and Xxxxxx (i) that is specifically identified (by cross-reference or otherwise) in its disclosure schedules as being qualified by such exception, or (ii) with respect to which the relevance of such exception is apparent on the face of the disclosure of such exception set forth in its disclosure schedules, provided, in either case, that the relevant facts are set forth in reasonable detail in the disclosure schedules.
