Common use of Representations and Warranties by Transferee Clause in Contracts

Representations and Warranties by Transferee. (1) Transferee hereby makes the representations and warranties as specified in Appendix 2 hereto. Such representations and warranties are true, accurate and complete in all material aspects on the execution day of this Agreement and the Closing date (unless the representation and warranty is specially associated with certain date).
