REPRESENTATIONS AND WARRANTIES CONCERNING THE BUYER AND ORIUS. The Buyer and Orius, jointly and severally, represent and warrant to the Shareholders that the statements contained in this Section are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Section ), except as set forth in the Buyer Disclosure Schedule. The Buyer Disclosure Schedule shall be effective to modify only those representations and warranties to which the Disclosure Schedule makes explicit reference. The Buyer Disclosure Schedule will be arranged in paragraphs corresponding to the lettered and numbered paragraphs contained in this Section .
