REPRESENTATIONS AND WARRANTIES CONCERNING THE STOCKHOLDER. As a material inducement to the Purchaser to enter into this Agreement, the Stockholder represents and warrants to the Purchaser that the statements contained in this Article VI are true and correct as of the date of this Agreement and as of the time of the Closing as though made as of such time, except to the extent such representations and warranties relate to an earlier date (in which case such representations and warranties shall be true and correct, on and as of such earlier date).
