Common use of Representations and Warranties in Other Documents Clause in Contracts

Representations and Warranties in Other Documents. All representations and warranties set forth in the Documents other than this Agreement were true and correct in all material respects at the time as of which such representations and warranties were made (or deemed made) and shall be true and correct in all material respects as of the Third Restatement Effective Date as if such representations and warranties were made on and as of such date, unless stated to relate to a specific earlier date, in which case such representations and warranties shall be true and correct in all material respects as of such earlier date. Notwithstanding anything to the contrary contained above, to the extent that the representations and warranties set forth in the Documents other than this Agreement were made by parties other than Furniture Brands and its Subsidiaries, such representations and warranties shall be deemed untrue only if the aggregate effect of all inaccuracies in such representations and warranties would reasonably be expected to have a Material Adverse Effect.

Notwithstanding anything to the contrary contained above, to the extent that the representations and warranties set forth in the Documents other than this Agreement were made by parties other than Furniture Brands the Borrower and its Subsidiaries, such representations and warranties shall be deemed untrue only if the aggregate effect of all inaccuracies in such representations and warranties would reasonably be expected to have a Material Adverse Effect.
