As of the Closing Date, all representations and warranties of the Borrower and, to the best knowledge of the Borrower, of the Sellers set forth in the Purchase Agreements, were true and correct in all material respects as of the time as of which such representations and warranties were made and shall be true and correct in all material respects as of the Closing Date as if such representations and warranties were made on and as of such date, unless such representation and warranty expressly indicates that it is being made as of any other specific date.
