REPRESENTATIONS AND WARRANTIES; NO DEFAULT; NO ADVERSE CHANGE. The representations and warranties of the Company contained in this Agreement shall be true in all material respects on the Closing Date except as affected by the consummation of the subject transactions, and there shall exist on such date and after giving effect to such transactions, no Event of Default or breach of any Loan Document. The Company shall have delivered to Holder an Officer's Certificate, dated the Closing Date, to all such effects.
