REPRESENTATIONS AND WARRANTIES OF ALZA AND MERGER SUB. ALZA and Merger Sub make to SEQUUS the representations and warranties contained in this Article IV, in each case subject to the exceptions set forth in the disclosure statement, dated as of the date hereof, delivered by ALZA to SEQUUS prior to the execution of this Agreement (the "ALZA Disclosure Statement"). The ALZA Disclosure Statement shall be arranged in schedules corresponding to the numbered Sections of this Article IV, and the disclosure in any section of the ALZA Disclosure Statement shall qualify only the corresponding Section of this Article IV, unless it is reasonably apparent that the disclosed contract, event, fact, circumstance or other matter could relate to other representations or warranties or the matters covered thereby.
