Representations and Warranties of APO. APO makes the following representations and warranties with respect to the Product sold hereunder: (i) the Product shall be of merchantable quality and shall fully comply with all Specifications; (ii) In Manufacturing the Product, APO shall adhere to (a) the quality standards and testing methods of GILEAD set forth in the Specifications; (b) the Quality Agreement; (c) any other condition provided under the Manufacturing Authorization and the Marketing Authorization; (d) the cGMPs; (e) any other applicable laws, rules and regulations applicable to manufacture of in territories where Finished Product is to be marketed, as notified by GILEAD; (f) any additional manufacturing standards agreed upon by the Parties; as well as (g) the Binding Orders.
