REPRESENTATIONS AND WARRANTIES OF AUGI AND TECHSTAR. Each of TechStar and AUGI hereby jointly and severally represent and warrant to Mergerco and IDF as follows, it being understood and agreed that neither IDF nor Mergerco is or will be required to undertake any independent investigation to determine the truth, accuracy and completeness of the representations and warranties made by AUGI in this Agreement, and it being further understood and agreed that the survival of each such representation and warranty shall be as set forth in Section 12.2(d) of this Agreement:
