Representations and Warranties of BCH. BCH hereby represents and warrants to the Company that the statements contained in this Section 2.1 are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though then and as though the Closing Date were substituted for the date of this Agreement throughout this Section 2.1), except as set forth in the disclosure schedule accompanying this Agreement (the "BCH Disclosure Statement). The BCH Disclosure Statement will be arranged in paragraphs corresponding to the lettered subsections contained in this Section 2.1.
Representations and Warranties of BCH. Except as set forth in the disclosure schedule (each section of which qualifies the correspondingly numbered representation and warranty or covenant as specified therein, provided that any disclosure set forth with respect to any particular section shall be deemed to be disclosed in reference to all other applicable sections to which the relevance of such disclosure is readily apparent on its face) previously delivered by BCH to Giant (the “BCH Disclosure Schedule”), BCH hereby represents and warrants to Giant as follows:
Representations and Warranties of BCH. 3.1 BCH represents and warrants to Oezcan that, as at both the effective date of this Agreement and the Closing Date, BCH owns and has good and marketable title to all of the Hallotel Shares as the legal and beneficial owner thereof, free and clear of all Encumbrances.
