REPRESENTATIONS AND WARRANTIES OF BIDDER. Each of the Bidders represents and warrants, severally and solely as to itself, to the Selling Shareholder as follows:

The scope and content of each representation and warranty of BIDDER contained in this Section 2 shall be exclusively governed by the provisions of this Letter Agreement (and no representation and warranty of BIDDER shall be construed as a guarantee (Garantie fur die Beschaffenheit der Sache) pursuant to Sections 443 and 444 of the German Civil Code).
