REPRESENTATIONS AND WARRANTIES OF CANNACURE. Cannacure hereby represents and warrants to Heritage and Subco as follows, and acknowledges that Heritage and Subco are relying upon such representations and warranties in connection with the transactions contemplated herein. Subject to any qualifications contained in a separate disclosure letter provided by Cannacure to Heritage as of the date hereof, the statements contained in this Article 5 are true and correct as of the date hereof, and Cannacure covenants, represents and warrants with and in favour of Heritage and Subco that all of the representations and warranties set forth in this Article 5 will be true and correct at the time of Closing as if made on the Closing Date.
