REPRESENTATIONS AND WARRANTIES OF CCI AND THE STOCKHOLDER. In order to induce GTS and Merger Subsidiary to enter into this Agreement and to consummate the transactions contemplated under this Agreement, the Stockholder and CCI, jointly and severally, hereby make the following representations and warranties each of which is relied upon by GTS and Merger Subsidiary regardless of any other action, omission to act, investigation made or information obtained by GTS and Merger Subsidiary:
