In connection with the purchase and sale of the Shares and in order to induce the Stockholder to enter into and consummate the transactions contemplated by this Agreement, Citadel makes the following representations and warranties to the Stockholder as of the date of this Agreement and as of the Closing Date (except for representations and warranties expressly and specifically relating to a time or times other than the date hereof or thereof, which shall be made as of the specified time or times):

7.3.1. Citadel has the full, right, power and authority to enter into this Agreement and to fully perform its obligations hereunder.
7.3.2. The performance of its obligations under this Agreement shall not be a breach of any separate agreement by which Citadel is bound. In addition, Citadel acknowledges that the representation and warranty provided by comScore in Section 7.1.14 is not intended to relieve Citadel of its obligations to comply with all foreign, domestic, state, and local laws and regulations that apply to Citadel.

CITADEL (as to Sections 3.1-3.14) represents and warrants to SUBPRIME that the statements contained in this ARTICLE III are correct and complete as of the date of this Agreement and, except as provided in Section 7.1, will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this ARTICLE III, except in the case of representations and warranties stated to be made as of the date of this Agreement or as of another date and except for changes contemplated or permitted by this Agreement).

Citadel hereby represents and warrants to Dispatch that, except as (i) set forth in the applicable section or subsection of the Citadel Disclosure Letter (interpreted as contemplated by Section 11.13) or (ii) to the extent disclosed in, and reasonably apparent from, any report, schedule, form or other document filed with, or furnished to, the Commission by Citadel and publicly available prior to the date of this Agreement (other than any forward-looking disclosures set forth in any risk factor section, any disclosures in any section relating to forward-looking statements and any other similar disclosures included therein to the extent that they are primarily cautionary in nature) and as provided in Section 6.20 as follows:
