REPRESENTATIONS AND WARRANTIES OF COB AND BA. (a) COB is a third class city organized and existing under the laws of the Commonwealth of Pennsylvania. COB has full capacity and authority to enter into this Agreement and to consummate the transactions contemplated hereby. This Agreement and all agreements, instruments and documents necessary or desirable to consummate the transactions contemplated hereto to be executed by COB are, and, on the date of Closing, will be duly authorized, executed and delivered by, and binding upon COB.
