Representations and Warranties of Comet. Except as expressly disclosed in the Comet SEC Documents filed with or furnished to the SEC and publicly available after January 1, 2017 and prior to the date of this Agreement (other than (a) any information that is contained solely in the “Risk Factors” section of such Comet SEC Documents that are not statements of historical fact and (b) any forward-looking statements, or other statements that are similarly predictive or forward-looking in nature, contained in such Comet SEC Documents), or in the Comet Disclosure Letter, Comet hereby represents and warrants to Venus as follows:
Representations and Warranties of Comet. In order to induce Subcorp and FindWhat to enter into this Agreement, Comet hereby represents and warrants to FindWhat and Subcorp that the statements contained in this ARTICLE IV are true, correct and complete.
