Common use of REPRESENTATIONS AND WARRANTIES OF CONNETICS Clause in Contracts

REPRESENTATIONS AND WARRANTIES OF CONNETICS. Connetics hereby represents and warrants to MGI as follows: (a) Connetics has the corporate power and authority to execute and deliver this Agreement and to perform its obligations thereunder, and the execution, delivery and performance of this Agreement have been duly authorized by Connetics. (b) Connetics has the right to grant to MGI the rights and licenses granted under this Agreement. (c) To the best of Connetics' knowledge, there are no pending or threatened legal claims relating to the Product, and there is no infringement or threatened infringement of a third party's patent rights with respect to any use or sale of Product in the Territory.
