Common use of Representations and Warranties of Consultant Clause in Contracts

Representations and Warranties of Consultant. Consultant warrants to The Company that: (a) Consultant is not currently under any contract or agreement with any party that will prevent Consultant from performing Consultant's duties under this Agreement; (b) Consultant is not, and by the performance of Consultant's duties under this Agreement will not be, in breach of any agreement with respect to any trade secrets or confidential information owned by any other party; (c) Consultant has not entered into, and will not enter into, any agreement, either written or oral, in conflict with this Agreement.

Representations and Warranties of Consultant. Consultant represents and warrants to The Company that: (a) that the entering into by Consultant is not currently under any contract or agreement with any party that will prevent Consultant from performing Consultant's duties under of this Agreement; (b) Consultant is not, Agreement and by the performance of Consultant's duties under this Agreement by Consultant hereunder will not beconflict with, in violate or constitute a breach of of, or require any agreement with respect to any trade secrets consent or confidential information owned by any other party; (c) Consultant has not entered into, and will not enter intoapproval under, any agreement, either license, arrangement or understanding, whether written or oral, in conflict with this Agreementor any law, judgment, decree, order, rule or regulation to which Consultant is a party or by which he is bound.

Representations and Warranties of Consultant. Consultant represents and warrants to The Company that: Client that (ai) Consultant is validly existing in its jurisdiction of organization, (ii) Consultant has full power and authority to enter into this Agreement, and (iii) the terms of this Agreement are not currently in conflict with or in violation of any applicable laws and do not constitute a breach or violation of the rights of any third party under any contract or agreement with any party that will prevent Consultant from performing binding upon Consultant's duties under this Agreement; (b) Consultant is not, and by the performance of Consultant's duties under this Agreement will not be, in breach of any agreement with respect to any trade secrets or confidential information owned by any other party; (c) Consultant has not entered into, and will not enter into, any agreement, either written or oral, in conflict with this Agreement.

Representations and Warranties of Consultant. Consultant represents and warrants to The Company that: : (ai) Consultant is not currently under any contract or agreement with any party that will prevent Consultant from performing Consultant's duties under this Agreement; (b) Consultant is not, the execution and by the performance delivery of Consultant's duties under this Agreement and the fulfillment of the terms hereof will not be, in constitute a default under or breach of any agreement with respect or other instrument to which Consultant is a party or by which Consultant is bound, including without limitation, any trade secrets confidentiality or non-competition agreement, nor will it require the consent of any person or entity, and (ii) Consultant shall not utilize during the provision of the Services any proprietary or confidential information owned by of any other third party; (c) Consultant has not entered into, and will not enter into, any agreement, either written or oral, in conflict with this Agreement.

Representations and Warranties of Consultant. Consultant represents and warrants to The Company that: as follows: (ai) Consultant is not currently under any contract has no obligations, legal or agreement otherwise, inconsistent with any party that will prevent Consultant from performing Consultant's duties under this Agreement; (b) Consultant is not, and by the performance terms of Consultant's duties under this Agreement will not be, in breach of any agreement or with respect to any trade secrets or confidential information owned by any other party; the Consultant’s undertaking a relationship with Company; and (cii) that Consultant has not entered into, and nor will not Consultant enter into, any agreement, either written agreement (whether oral or oral, written) in conflict with this Agreement.

Representations and Warranties of Consultant. Consultant represents and warrants to The Company that: (a) that all terms and conditions of this Agreement shall be kept strictly confidential. Consultant represents and warrants to Company that he is not currently under any contract no contractual or agreement other restriction which is inconsistent with any party the execution of this Agreement, the performance of his duties hereunder or the other rights of Company hereunder. Consultant also represents and warrants to Company that will prevent Consultant from performing Consultant's he is under no physical or mental disability that would hinder the performance of his duties under this Agreement; (b) Consultant is not, and by the performance of Consultant's duties under this Agreement will not be, in breach of any agreement with respect to any trade secrets or confidential information owned by any other party; (c) Consultant has not entered into, and will not enter into, any agreement, either written or oral, in conflict with this Agreement.
