Common use of Representations and Warranties of Consultant Clause in Contracts

Representations and Warranties of Consultant. Consultant represents and warrants that the entering into by Consultant of this Agreement and the performance by Consultant hereunder will not conflict with, violate or constitute a breach of, or require any consent or approval under, any agreement, license, arrangement or understanding, whether written or oral, or any law, judgment, decree, order, rule or regulation to which Consultant is a party or by which he is bound.

Representations and Warranties of Consultant. Consultant represents and warrants to Client that (i) Consultant is validly existing in its jurisdiction of organization, (ii) Consultant has full power and authority to enter into this Agreement, and (iii) the entering into by Consultant terms of this Agreement are not in conflict with or in violation of any applicable laws and the performance by Consultant hereunder will do not conflict with, violate or constitute a breach of, or require violation of the rights of any consent third party under any contract or approval under, any agreement, license, arrangement or understanding, whether written or oral, or any law, judgment, decree, order, rule or regulation to which Consultant is a party or by which he is boundagreement binding upon Consultant.

Representations and Warranties of Consultant. Consultant represents and warrants that that: (i) the entering into by Consultant execution and delivery of this Agreement and the performance by Consultant hereunder fulfillment of the terms hereof will not conflict with, violate or constitute a default under or breach of, of any agreement or require any consent or approval under, any agreement, license, arrangement or understanding, whether written or oral, or any law, judgment, decree, order, rule or regulation other instrument to which Consultant is a party or by which he Consultant is bound, including without limitation, any confidentiality or non-competition agreement, nor will it require the consent of any person or entity, and (ii) Consultant shall not utilize during the provision of the Services any proprietary or confidential information of any third party.

Representations and Warranties of Consultant. Consultant represents and warrants that as follows: (i) Consultant has no obligations, legal or otherwise, inconsistent with the entering into by Consultant terms of this Agreement or with the Consultant’s undertaking a relationship with Company; and the performance by (ii) that Consultant hereunder has not entered into, nor will not conflict with, violate or constitute a breach of, or require any consent or approval underConsultant enter into, any agreement, license, arrangement agreement (whether oral or understanding, whether written or oral, or any law, judgment, decree, order, rule or regulation to which Consultant is a party or by which he is boundwritten) in conflict with this Agreement.

The Consultant represents and warrants that he has the entering into by Consultant of power and authority to execute, deliver and carry out this Agreement and the performance by Consultant hereunder will making of this Agreement is not conflict with, violate in violation of any contractual or constitute a breach of, or require any consent or approval under, any agreement, license, arrangement or understanding, whether written or oral, or any law, judgment, decree, order, rule or regulation to which Consultant is a party or by which he is boundregulatory obligation binding upon Consultant.

Representations and Warranties of Consultant. The Consultant hereby represents and warrants to the Company that the entering into execution, delivery and performance by the Consultant of this Agreement and the performance by Consultant hereunder will not conflict with, violate with or constitute result in a breach of any of the terms, conditions or provisions of, or require any consent constitute (with due notice or approval lapse of time or both) a default under, any agreement, license, arrangement agreement or understanding, whether written or oral, or any law, judgment, decree, order, rule or regulation instrument to which the Consultant is a party or by which he is boundbound or any other legally enforceable duty of the Consultant to any former employer or person or entity for whom he has previously provided consulting or employment services.
