Common use of Representations and Warranties of Consultant Clause in Contracts

Representations and Warranties of Consultant. (a) The Consultant represents that the Consultant has the qualifications and ability to perform the services in a professional manner, without the advice, control, or supervision of the Purchaser. (b) Consultant represents and warrants that, to the best of his knowledge, the Consultant is not a party to any other agreement that would prevent Consultant from performing his obligations under this Agreement.

Representations and Warranties of Consultant. Consultant hereby represents and warrants to the Company as follows: (ai) The Consultant represents that the Consultant has full power and authority to enter into this Agreement, to enter into a consulting relationship with the qualifications Company and ability to otherwise perform this Agreement in the services in a professional manner, without the advice, control, or supervision of the Purchasertime and manner contemplated. (bii) Consultant represents will at all times comply with all applicable laws and warrants that, to regulations in the best performance of his knowledge, the Consultant is not a party to any other agreement that would prevent Consultant from performing his its services and/or obligations under this Agreementhereunder.

(b) Consultant represents all actions taken by Consutlant and warrants thatits employees and agents on behalf of the Company, to the best of his knowledgein connection with any consulting services, the Consultant is not a party to any other agreement that would prevent Consultant from performing his obligations under this Agreementwill be conducted in compliance with all applicable state and federal laws.

(b) Consultant represents and warrants that, to the best Company that (a) Consultant has the corporate authority with respect to entering into, and performing under, this Agreement and (b) Consultant, including each of his knowledgeits affiliates, will not directly or indirectly buy or sell the Consultant is not a party securities of the Company at any time when it or they are privy to any other agreement that would prevent Consultant from performing his obligations under this Agreementnon-public information.

Consultant represents and warrants that, to the best of his knowledge, the Company that Consultant is not a party under no legal disability with respect to any other agreement that would prevent Consultant from entering into, and performing his obligations under under, this Agreement. B. Consultant, including each of his affiliates, will not directly or indirectly buy or sell the securities of the Company at any time when he or they are privy to non-public information.
