The representations and warranties of CTC contained in Article III of this Agreement shall be true and correct in all material respects on the Closing Date with the same force and effect as though such representations and warranties had been made on such date, and CTC shall have delivered to the DI Shareholders a certificate to such effect signed by its Chairman of the Board and President.
