Cyprus Amax and Specialty, jointly and severally, hereby represent and warrant to Buyer as set forth below, subject to the information, qualifications and exceptions set forth in the Schedules attached hereto. Disclosure of any items not otherwise required to be disclosed shall not create any inference of materiality. In the event of any inconsistency between the headings contained on or within a Schedule and the applicable representation or warranty, the representation or warranty shall control.
