REPRESENTATIONS AND WARRANTIES OF DRIVEOFF, NAVIDEC, AND WFC. The representations and warranties of Driveoff, Navidec, and WFC set forth in this Agreement shall be true and correct in all material respects as of the date of this Agreement and as of the Closing Date as though made on and as of the Closing Date, except as otherwise contemplated by this Agreement (for all purposes relevant to this Agreement (including Article VII), the representations and warranties of the parties hereto contained in this Agreement shall be deemed made as of the date hereof and as of the Closing Date, except to the extent such representations and warranties expressly relate to an earlier date, in which case such representations and warranties shall be deemed made as of such date). CP.cxx xxxll have received a certificate signed by an authorized officer of Driveoff, Navidec, and WFC to such effect on the Closing Date.
