Common use of Representations and Warranties of Employee Clause in Contracts

Representations and Warranties of Employee. Employee represents and warrants to the Company that: (a) Employee’s employment will not conflict with or result in his breach of any agreement to which he is a party or otherwise may be bound; (b) Employee has not violated, and in connection with his employment with the Company will not violate, any non-solicitation, non-competition or other similar covenant or agreement of a prior employer by which he is or may be bound; and (c) In connection with Employee’s employment with the Company, he will not use any confidential or proprietary information that he may have obtained in connection with employment with any prior employer.

Employee represents and warrants to the Company that: : (ai) Employee’s employment will not conflict with or result in his her breach of any agreement to which he she is a party or otherwise may be bound; ; (bii) Employee has not violated, and in connection with his her employment with the Company will not violate, any non-solicitation, non-competition or other similar covenant or agreement of a prior employer by which he she is or may be bound; and and (ciii) In in connection with Employee’s employment with the Company, he she will not use any confidential or proprietary information that he she may have obtained in connection with employment with any prior employer.

The Employee represents and warrants to the Company that: (a) The Employee’s employment will not conflict with or result in his breach of any agreement to which he is a party or otherwise may be bound; (b) The Employee has not violated, and in connection with his employment with the Company will not violate, any non-solicitation, non-competition or other similar covenant or agreement of a prior employer by which he is or may be bound; and (c) In connection with Employee’s employment with the Company, he will not use any confidential or proprietary information that he may have obtained in connection with employment with any prior employer; and (d) The Employee has not (i) been convicted of any felony; or (ii) committed any criminal act with respect to Employee’s current or any prior employment.

Employee represents and warrants to the Company that: (a) Employee’s continued employment will not conflict with or result in his breach of any agreement to which he is a party or otherwise may be bound; (b) Employee has not violated, and in connection with his continued employment with the Company will not violate, any non-solicitation, non-competition or other similar covenant or agreement of a prior employer by which he is or may be bound; and (c) In connection with Employee’s continued employment with the Company, he will not use any confidential or proprietary information that he may have obtained in connection with employment with any prior employer.
