REPRESENTATIONS AND WARRANTIES OF EMPOWER AND THE MEMBERS. As an inducement of Intelligroup to enter into this Agreement, Empower and each Member hereby makes, jointly and severally, as of the date hereof and as of the Closing Date, the following representations and warranties to Intelligroup, except as otherwise set forth in written disclosure schedules (the "Schedules") delivered to Intelligroup prior to the date hereof, a copy of which is attached hereto. The Schedules are numbered to correspond to the various sections of this Article 3 setting forth certain exceptions to the representations and warranties contained in this Article 3 and certain other information called for by this Agreement. Unless otherwise specified, no disclosure made in any particular Schedule shall be deemed made in any other Schedule unless expressly made therein (by cross-reference or otherwise).
