REPRESENTATIONS AND WARRANTIES OF SELLER AND THE COMPANY. Seller and the Company jointly and severally represent and warrant to the Purchaser that:

The representations and warranties of Seller and the Company set forth in this Agreement shall be true and correct as of the date of this Agreement and as of the Closing as though made on and as of the Closing, except: (i) as otherwise contemplated by this Agreement; or (ii) in respects that do not have a Material Adverse Effect on the Parties or on the benefits of the transactions provided for in this Agreement. Buyer shall have received certificates signed on behalf of Seller and the Company by the Chief Executive Officer or President of each Seller and the Company to such effect on the Closing.

As a material inducement to Buyer to enter into this Agreement and to consummate the transactions contemplated hereby, Seller, the Principal Owners, and the Company jointly and severally represent and warrants as of the date hereof, except as set forth on the Disclosure Schedules (or as disclosed in any other section, subsection or clause of the Disclosure Schedule to the extent that the applicability to such other section, subsection or clause is reasonably apparent on its face) to Buyer as set forth below.
