Representations and Warranties of GameSquare. (1) Except as disclosed in the GameSquare Public Disclosure Record (excluding, for purposes of disclosure against any representations and warranties in this Agreement, all disclosures in any “Risk Factors” section and any disclosures included in any such public filings that are cautionary, predictive or forward-looking in nature) or in the GameSquare Disclosure Letter (which disclosure shall apply against any representations and warranties to which it is reasonably apparent it should relate), GameSquare represents and warrants to Engine Gaming as set forth in Schedule “D” and acknowledges and agrees that Engine Gaming is relying upon such representations and warranties in connection with the entering into of this Agreement.
