Public Disclosure Record means collectively, all of the documents which have been filed on xxx.xxxxx.xxx since June 1, 2017 by or on behalf of the Corporation with the Securities Commissions pursuant to the requirements of Canadian Securities Laws;

Public Disclosure Record means all documents filed by or on behalf of the Company on the System for Electronic Document Analysis Retrieval (“SEDAR”) since January 1, 2015 and prior to the date hereof that are publicly available on the date hereof;

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, Ontario Securities Commission filings, material change reports and news releases filed from time to time by Premier Gold with the stock exchanges and all securities regulatory authorities in each relevant jurisdiction.

Examples of Public Disclosure Record in a sentence

• There has been no material change in the accounting methods or practices of the Company since the earliest date covered by the Company Historical Financial Statements, except as disclosed therein or in subsequent financial statements forming part of the Company Public Disclosure Record.

• There has been no change in a material fact or a material change (as those terms are defined under the Securities Act) in any of the information contained in the Acquiror Public Disclosure Record, except for changes in material facts or material changes that are reflected in a subsequently filed document included in the Acquiror Public Disclosure Record.

• Other than as set forth in the Valdy Public Disclosure Record, there are no contracts or other transactions currently in place between Valdy or its subsidiaries, on the one hand, and: (i) any officer or director of Valdy or its subsidiaries; (ii) any holder of record or, to the knowledge of Valdy, beneficial owner of 10% or more of the Valdy Shares; and (iii) any affiliate or associate of any such, officer, director, holder of record or beneficial owner, on the other hand.

• As of their respective dates (or, if amended prior to the date hereof, as of the date of such amendment), the documents and instruments constituting the Company Public Disclosure Record did not contain any Misrepresentation.

• All of such documents in the Auxilium Public Disclosure Record (including any financial statements included or incorporated by reference therein), as of their respective dates (and as of the date of any amendment to the respective document in the Auxilium Public Disclosure Record), complied as to form in all material respects with the applicable requirements of the 1933 Securities Act and the 0000 Xxxxxxxx Xxx.

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, SEC filings, material change reports and news releases filed from time to time by the Borrower with the Exchanges and all securities regulatory authorities in each Reporting Jurisdiction;

Public Disclosure Record means collectively, all of the documents which have been filed by or on behalf of the Parent with the relevant securities regulators pursuant to the requirements of applicable securities Laws, or pursuant to the ASX Listing Rules.

Public Disclosure Record means the information filed by a Party with the required securities commissions on SEDAR, the System for Electronic Document Analysis Retrieval at xxx.xxxxx.xxx of the Canadian securities administrators, with the Exchange and with the Registrar, as required in accordance with Applicable Securities Laws or the BCBCA;

Public Disclosure Record means the Registration Statement on Form F-4 filed by the Company with the Commission (Registration No. 333-208761) as declared effective by the Commission on April 8, 2016 and all documents and information filed by the Company under applicable securities laws on the System for Electronic Document Analysis Retrieval (SEDAR) and on the Electronic Data Gathering, Analysis, and Retrieval system (EDXXX), during the period commencing on the effective date of such Registration Statement and ending on the Closing Date.

Public Disclosure Record means, with respect to a Party, all forms, reports, schedules, statements and other documents required to be filed with applicable securities regulatory authorities under applicable Laws (including, the CSE and other applicable stock exchanges), which have been filed by such Party with such applicable securities regulatory authorities, and which are accessible to the public on SEDAR.
