Public Disclosure Record means collectively, all of the documents which have been filed on xxx.xxxxx.xxx since June 1, 2017 by or on behalf of the Corporation with the Securities Commissions pursuant to the requirements of Canadian Securities Laws;

Public Disclosure Record means all documents filed by or on behalf of the Company on the System for Electronic Document Analysis Retrieval (“SEDAR”) since January 1, 2015 and prior to the date hereof that are publicly available on the date hereof;

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, Ontario Securities Commission filings, material change reports and news releases filed from time to time by Premier Gold with the stock exchanges and all securities regulatory authorities in each relevant jurisdiction.

• As of the date of this Agreement, there are no outstanding or unresolved comments in comments letters from any securities commission or similar regulatory authority with respect to any of the Public Disclosure Record and neither the Company nor any of the Public Disclosure Record is, to its knowledge, subject of an ongoing audit, review, comment or investigation by any securities commission or similar regulatory authority or the TSX.

• The documents and information comprising the Public Disclosure Record, as at the respective dates they were filed, were in compliance in all material respects with‌ applicable Securities Laws and, where applicable, the rules and policies of the TSX and did not contain any misrepresentation or untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, SEC filings, material change reports and news releases filed from time to time by the Borrower with the Exchanges and all securities regulatory authorities in each Reporting Jurisdiction;

Public Disclosure Record means collectively, all of the documents which have been filed by or on behalf of the Parent with the relevant securities regulators pursuant to the requirements of applicable securities Laws, or pursuant to the ASX Listing Rules.

Public Disclosure Record means the information filed by a Party with the required securities commissions on SEDAR, the System for Electronic Document Analysis Retrieval at wxx.xxxxx.xxx of the Canadian securities administrators, with the Exchange and with the Registrar, as required in accordance with Applicable Laws or the BCBCA.

Public Disclosure Record means the Registration Statement on Form F-4 filed by the Company with the Commission (Registration No. 333-208761) as declared effective by the Commission on April 8, 2016 and all documents and information filed by the Company under applicable securities laws on the System for Electronic Document Analysis Retrieval (SEDAR) and on the Electronic Data Gathering, Analysis, and Retrieval system (EDXXX), during the period commencing on the effective date of such Registration Statement and ending on the Closing Date.

Public Disclosure Record means, with respect to a Party, all forms, reports, schedules, statements and other documents required to be filed with applicable securities regulatory authorities under applicable Laws (including, the CSE and other applicable stock exchanges), which have been filed by such Party with such applicable securities regulatory authorities, and which are accessible to the public on SEDAR.

Public Disclosure Record means all documents filed or furnished by or on behalf of the Corporation on SEDAR or EXXXX since January 1, 2014 and June 12, 2015, respectively;
