Public Disclosure Record means collectively, all of the documents which have been filed on xxx.xxxxx.xxx since June 1, 2017 by or on behalf of the Corporation with the Securities Commissions pursuant to the requirements of Canadian Securities Laws;

Public Disclosure Record means all documents filed by or on behalf of the Company on the System for Electronic Document Analysis Retrieval (“SEDAR”) since January 1, 2015 and prior to the date hereof that are publicly available on the date hereof;

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, Ontario Securities Commission filings, material change reports and news releases filed from time to time by Premier Gold with the stock exchanges and all securities regulatory authorities in each relevant jurisdiction.

Examples of Public Disclosure Record in a sentence

• The Purchaser is not a party to any Contract with any officer, director, employee, shareholder or any other Person not dealing at arm’s length with the Purchaser, except for any employment agreements with the employees of the Purchaser or as described in the ANON Public Disclosure Record.

• The Purchaser has not made any payment or loan to, or borrowed any monies from or is otherwise indebted to, any officer, director, employee, shareholder or any other Person not dealing at arm’s length with the Purchaser, except as disclosed in the ANON Public Disclosure Record.

• The Purchaser has no liabilities, obligations, indebtedness or commitments of a type required to be reflected on a balance sheet prepared in accordance with IFRS, except (i) those which are adequately reflected or reserved against in the ANON Financial Statements or in the ANON Public Disclosure Record and (ii) those which have been incurred in the ordinary course of business since the date of the ANON Financial Statements and which are not material in amount.

• The ANON Public Disclosure Record provides a true, accurate and complete list of the accounts and safety deposit boxes of the Purchaser and sets out the name of each bank, trust company or similar institution in which the Purchaser has accounts or safety deposit boxes, the number or designation of each such account and safety deposit box and the names of all Persons authorized to draw thereon or to have access thereto.

• Except as disclosed in the ANON Public Disclosure Record, since the date of the ANON Financial Statements, the Purchaser has carried on the ANON Business and conducted its operations and affairs only in the Ordinary Course and the Purchaser has not made or suffered any Material Adverse Change.

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, SEC filings, material change reports and news releases filed from time to time by the Borrower with the Exchanges and all securities regulatory authorities in each Reporting Jurisdiction;

Public Disclosure Record means the information filed by a Party with the required securities commissions on SEDAR, the System for Electronic Document Analysis Retrieval at wxx.xxxxx.xxx of the Canadian securities administrators, with the Exchange and with the Registrar, as required in accordance with Applicable Laws or the BCBCA.

Public Disclosure Record means, collectively, all of the documents which have been filed by or on behalf of the Corporation prior to the Closing Time with the relevant Securities Regulators pursuant to the requirements of Securities Laws, including all documents filed on SEDAR at xxx.xxxxx.xxx and XXXXX at xxx.xxx.xxx.;

Public Disclosure Record means the Registration Statement on Form F-4 filed by the Company with the Commission (Registration No. 333-208761) as declared effective by the Commission on April 8, 2016 and all documents and information filed by the Company under applicable securities laws on the System for Electronic Document Analysis Retrieval (SEDAR) and on the Electronic Data Gathering, Analysis, and Retrieval system (EDXXX), during the period commencing on the effective date of such Registration Statement and ending on the Closing Date.
