REPRESENTATIONS AND WARRANTIES OF GLOBALCENTER AND MERGER SUB. With respect to representations and warranties of the GlobalCenter Parties (as defined below) that are qualified by knowledge, the statement "to GlobalCenter's knowledge" shall be deemed to include the knowledge of a particular GlobalCenter Party with respect to such GlobalCenter Party. Except as set forth in the Schedule of Exceptions to the representations and warranties of GlobalCenter and Merger Sub attached hereto as Schedule 3, GlobalCenter and ---------- Merger Sub hereby jointly and severally represent and warrant to ISI as follows:
