Representations and Warranties of HTM and SMTC. As an inducement to enter into this Agreement and the other Documents to which they are parties and to consummate the transactions contemplated hereby and thereby, SMTC (in such capacity, together with its subsidiaries, a "Representing Party") hereby represents and warrants to HTM, the HTM ------------------- Stockholders and the Investor (in such capacity, collectively, a "Relying ------- Party") as to the matters set forth in this Section 3.1.
