REPRESENTATIONS AND WARRANTIES OF IQX AND THE STOCKHOLDERS. Subject to Sections 10 and 12.14 hereof, IQX (if the Closing shall not occur) and the Majority Stockholder (except with respect only to the representations and warranties made in Sections 4.1 (with respect to the third sentence thereof), 4.7 (with respect to the third and fifth sentences thereof), 4.11 (with respect to clauses (ii)(b) and (c) thereof as they pertain to each Stockholder only), 4.30 and 4.31 hereof, as to which each Stockholder severally hereby represents and warrants), jointly and severally, hereby represent and warrant to Buyer as follows:
