REPRESENTATIONS AND WARRANTIES OF LEARN2. Except as set forth in the Disclosure Letter delivered by Learn2 to E-Stamp simultaneously with the execution of this Agreement (the "LEARN2 DISCLOSURE LETTER"), which Learn2 Disclosure Letter shall be divided into sections corresponding to the sections of this Article III, any exception set forth in any such section only modifying the corresponding section of this Article III or any other section of this Article III where the nature of such exception is reasonably apparent from the face of such exception, Learn2 hereby represents, warrants to and agrees with E-Stamp as follows:
