REPRESENTATIONS AND WARRANTIES OF LIFELINE. Lifeline represents and warrants to the Company that (i) Lifeline is a corporation, validly existing and in good standing under the laws of the State of New Jersey and that its has the requisite corporate power and authority to enter into this Agreement, and (ii) this Agreement is a valid and binding obligation of Lifeline and is enforceable against Lifeline in accordance with its terms, subject to applicable bankruptcy and insolvency laws and general principals of equity.
