REPRESENTATIONS AND WARRANTIES OF LLC. To induce AMD to enter into this Agreement, LLC hereby makes the following representations and warranties to AMD.
4.1 Organization of LLC. REPRESENTATIONS AND WARRANTIES OF LLC. LLC is a limited liability company duly organized, validly existing and in good standing under the laws of the State of Delaware. LLC has all necessary corporate power and authority to carry on its business as now being conducted. LLC has the necessary corporate power and authority to execute, deliver and perform this Agreement and any related agreements to which it is a party. This Agreement constitutes the legal, valid and binding obligation of LLC, enforceable against it in accordance with its terms except as such enforceability may be limited by bankruptcy, insolvency, reorganization, moratorium and other similar laws and equitable principles relating to or limiting creditors' rights generally. The execution, delivery and performance of this Agreement and any related agreements by LLC will not violate the provisions of, or constitute a breach or default whether upon lapse of time and/or the occurrence of any act or event or otherwise under (a) the operating agreement of LLC, (b) any Law to which LLC is subject or (c) any Contract to which LLC is a party.
