a. that MBI is a business entity validly organized under the laws of Delaware;
b. that MBI and the individual executing the Agreement on MBI's behalf are empowered and authorized to make, execute, deliver and perform this Agreement and the actions contemplated by it;
c. that MBI's execution and delivery of this Agreement, including execution and delivery of the Stipulated Judgment, and MBI's performance hereunder have been duly authorized by all necessary action; and
d. that this Agreement, when executed, shall constitute the legal, valid and binding obligation of MBI, enforceable against MBI in accordance with its terms.
