REPRESENTATIONS AND WARRANTIES OF MCBI. As a material inducement to HNBI to enter into this Agreement and to consummate the transactions contemplated hereby, MCBI hereby makes to HNBI the representations and warranties contained in this Article IV. On or prior to the date hereof, MCBI has delivered to HNBI a schedule (the “MCBI Disclosure Schedule”) listing, among other things, items the disclosure of which is necessary or appropriate in relation to any or all of MCBI’s representations and warranties contained in this Article IV, as applicable. Disclosure of any information, agreement, or other item in a MCBI Disclosure Schedule referenced by a particular section in this Agreement shall be deemed to qualify any other section of this Agreement specifically referenced or cross-referenced and other sections of this Agreement to the extent it is reasonably apparent on its face (notwithstanding the absence of a specific reference or cross-reference) from a reading of the disclosure that such disclosure applies to such other sections. MCBI hereby makes the following representations and warranties to HNBI as of the date of this Agreement and as of the Closing Date.
REPRESENTATIONS AND WARRANTIES OF MCBI. MCBI represents and warrants to BMBC that the statements contained in this Article IV are true and correct as of the date hereof and thereafter as of all times up to and including the Effective Time, subject to such qualifications and exceptions as are set forth in the MCBI Disclosure Schedules delivered by MCBI to BMBC on the date hereof. MCBI has made a good faith effort to ensure that the disclosure on each schedule of the MCBI Disclosure Schedule corresponds to the section referenced herein. However, for purposes of the MCBI Disclosure Schedule, any item disclosed on any schedule therein is deemed to be fully disclosed with respect to all schedules under which such item may be relevant as and to the extent that it is reasonably clear on the face of such schedule that such item applies to such other schedule. References to the Knowledge of MCBI shall include the Knowledge of MCCB and each of the other MCBI Subsidiaries.
