Representations and Warranties of Mr. Xxxxx. Xx. Xxxxx xxxresents and warrants to United as set forth below. These representations and warranties are made as an inducement for United to enter into this Agreement and, but for the making of such representations and warranties and their accuracy, United would not be a party hereto.
a. Mr. Xxxxx xx, or at closing will be, the record and beneficial owner and holder of the ownership interest of UNM to be transferred to pursuant to this agreement and such interests are or will be on the closing date owned by Mr. Xxxxx xxxe and clear of all liens, encumbrances, charges and assessments of every nature and subject to no restrictions with respect to transferability. Except for the 2% ownership interest previously, or to be, transferred to United, such 98% ownership interests shall represent absolute ownership and control of UNM.
b. Except for this Agreement, there are no outstanding options, contracts, calls, commitments, agreements or demands or any character relating to the ownership interests to be sold pursuant hereto.

Dalal represxxxx xxx warrants xx XPGK that the statements contained in this Section 2.1 are correct and complete as of the date of this Agreement, except as set forth in the Disclosure Schedule delivered by Dalal to SPGK on the date herxxx xnd attached hereto as Exhibit "A" (the "Disclosure Schedule"). Nothing in the Disclosure Schedule shall be deemed adequate to disclose an exception to a representation or warranty made herein, however, unless the Disclosure Schedule identifies the exception with reasonable particularity and describes the relevant facts in reasonable detail. Without limiting the generality of the foregoing, the mere listing (or inclusion of a copy) of a document or other item shall not be deemed adequate to disclose an exception to a representation or warranty made herein (unless the representation or warranty has to do with the existence of the document or other item itself). The Disclosure Schedule will be arranged in paragraphs corresponding to the lettered and numbered paragraphs contained in this Section 2.1.
