REPRESENTATIONS AND WARRANTIES OF MSI AND SELLER. Seller and MSI represent and warrant to Buyer that the statements contained in this Section 4 are correct and complete as of the date of this Agreement and shall be correct and complete on the Closing Date. Wherever a representation or warranty in this Agreement is qualified by “Knowledge,” “to MSI’s and Seller’s Knowledge,” “to the best of MSI’s and Seller’s Knowledge,” or a similar iteration, such phrase shall mean the actual knowledge and constructive knowledge, based on a reasonably diligent investigation, of Xxxxxx Xxxxxxxx, Chief Executive Officer of MSI, Xxxxxxx Xxxxxxxx, Chief Financial Officer of MSI, and Xxxxxx Xxxxxx, President of Linkstar Corporation.
