REPRESENTATIONS AND WARRANTIES OF PARENT, SELLER, NMT-US. The -------------------------------------------------------- representation and warranties made by Parent, Seller and NMT-US to Buyer in Section 3 of this Agreement shall be true and correct in all material respects (except for such representations and warranties as are qualified by materiality or made to the best knowledge, which shall be true and correct) on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on and as of such time, except and solely to the extent such representations and warranties speak as of a different date.
