Representations and Warranties of Prepress and Shareholders. Prepress and each of the Shareholders, jointly and severally, represent and warrant to ZiaSun that, to the best of their knowledge, all of the statements made below in this Section 2 are true and correct in all material respects. These representations and warranties are subject to the exceptions set forth on attached Exhibit 2 (the "Schedule of Exceptions"), specifically identifying the relevant Section hereof, which exceptions shall be deemed to be representations and warranties as if made hereunder. The phrase "to the best knowledge of Prepress" shall, when included in a representation or warranty made by a Shareholder, means to the best knowledge of such Shareholder.
