REPRESENTATIONS AND WARRANTIES OF QUES. QUES represents and warrants to BCS Stockholder as of the date hereof and as of the Closing Date that the statements contained in this Section 5 are true and correct, except as set forth in the disclosure schedule dated and delivered as of the date hereof by QUES to BCS and the BCS Stockholder (the “QUES Disclosure Schedule”), which is attached to this Agreement as Exhibit F. The QUES Disclosure Schedule shall be arranged in paragraphs corresponding to each representation and warranty set forth in this Section 5. Any information disclosed in any part of the QUES Disclosure Schedule shall be deemed disclosed and incorporated into any other part of the QUES Disclosure Schedule where it is reasonably apparent from the text of the disclosure that such disclosure is relevant to such other part:
