RTI represents and warrants to Mpath and Sub that the statements contained in this Article III are true and correct, except as expressly set forth in the disclosure schedule delivered by RTI to Mpath on or before the date of this Agreement (the "RTI Disclosure Schedule"). RTI represents and warrants to the Company that RTI is a corporation duly organized, validly existing and in good standing under the laws of the State of Texas and has full power and authority to enter into and perform its obligations under this Agreement. The officer whose name appears on the signature page of this Agreement has full power and authority to execute and deliver this Agreement on behalf of RTI and to cause RTI to perform its obligations under this Agreement.
REPRESENTATIONS AND WARRANTIES OF RTI. RTI hereby represents and warrants to Sterigenics that the statements contained in this Article IV are true and correct, except as set forth in the disclosure schedule delivered by RTI to Sterigenics on or before the date of this Agreement (the "RTI Disclosure Schedule"). The RTI Disclosure Schedule shall be arranged in Sections corresponding to the numbered and lettered Sections contained in this Article IV; provided, however, that the failure to make a disclosure in reference to a particular representation shall not give rise to a breach of this Agreement if the applicability to such representation of exceptions to other representations is obvious on its face without any investigation by Sterigenics. No fact or circumstance disclosed to Sterigenics shall constitute an exception to these representations and warranties unless such fact or circumstance is set forth in the RTI Disclosure Schedule.
