Organization of RTI. RTI is a corporation duly ------------------- organized, validly existing and in good standing under the laws of the State of Delaware, has all requisite corporate power to own, lease and operate its property and to carry on its business as now being conducted, and is duly qualified or licensed to do business and is in good standing as a foreign corporation in each jurisdiction in which the nature of its business or ownership or leasing of properties makes such qualification or licensing necessary and where the failure to be so qualified or licensed would result in a material adverse effect on the business, assets (including intangible assets), liabilities, condition (financial or otherwise) or results of operations (a "Material Adverse Effect") of RTI. The RTI Disclosure Schedule contains a true and complete listing of the locations of all sales offices, development facilities, and any other offices or facilities of RTI and a true and complete list of all states in which RTI maintains any employees. The RTI Disclosure Schedule contains a true and complete list of all states in which RTI is duly qualified or licensed to transact business as a foreign corporation.

The Company is duly authorized to conduct business and is in good standing under the laws in every jurisdiction in which the ownership or use of property or the nature of the business conducted by it makes such qualification necessary except where the failure to be so qualified or in good standing would not have a Material Adverse Effect. “Material Adverse Effect” means any material adverse effect on the business, operations, assets, financial condition or prospects of the Company or its Subsidiaries, if any, taken as a whole or on the transactions contemplated hereby or by the agreements or instruments to be entered into in connection herewith. The Company has full corporate power and authority and all licenses, permits, and authorizations necessary to carry on its business.
