REPRESENTATIONS AND WARRANTIES OF SCORPIO GOLD AND SCORPIO SUB. Scorpio Gold and Scorpio Sub hereby represent and warrant on a joint and several basis to Royal Standard and Manhattan that all of the statements contained in this Article 5 are true and complete as of the date of this Agreement (or if made as of a specified date, as of such date) and covenant that such will be true and complete as of the Closing Date as though made on the Closing Date (or if made as of a specified date, as of such date).
