REPRESENTATIONS AND WARRANTIES OF SELLER AND BABYCARE HOLDINGS. Except as set forth in the corresponding sections of the disclosure schedule of the Seller delivered to the Buyer concurrently with the execution and delivery of this Agreement (the “Seller Disclosure Schedule”) (provided, that if any fact or item disclosed in any section of the Seller Disclosure Schedule shall be relevant to any other section of this Agreement, then such fact or item shall be deemed to be disclosed with respect to such other section of this Agreement, but only to the extent to which it is readily apparent on its face that such fact or item relates), the Seller hereby represents and warrants to the Buyer that, as of the date hereof:
