Representations and Warranties of Seller and Optometrist. Seller and Optometrist hereby jointly and severally represent and warrant to Vision 21 and the P.L.C. that the following are true and correct as of the date hereof, and shall be true and correct as of the Closing Date as if made on that date, except as set forth on the Schedules attached hereto and made a part hereof, each of which exceptions shall specifically identify and be limited to the relevant subsection hereof to which it relates and shall be deemed to be a representation and warranty as if made hereunder, when used in this Section 3, the term "best knowledge" (or words of similar import) shall mean such knowledge of Seller as shall have been obtained through due and diligent investigation. :
