REPRESENTATIONS AND WARRANTIES OF SELLER AND SELLING SUBSIDIARIES. Except as set forth in the letter (the “Seller Disclosure Letter”) delivered by Seller and the Selling Subsidiaries to Purchasers concurrently with the execution of this Agreement (it being understood that any matter disclosed on any Schedule of the Seller Disclosure Letter will be deemed to be disclosed on any other Schedule of the Seller Disclosure Letter for which applicability of such information and disclosure is reasonably apparent on its face), Seller and the Selling Subsidiaries hereby, jointly and severally, represent and warrant to Purchasers, as follows:
