REPRESENTATIONS AND WARRANTIES OF SELLER, ITS PARTNERS, AND SHAHEEN. To induce Buyer and Stephan to enter into thix Xxxxxment, Seller, its Partners, and Shaheen, jointly and severally, make the following representations and warranties to Buyer and Stephan:
5.1 Organizatiox, Xxxxding and Power Seller is a limited partnership duly organized, validly existing and in good standing under the laws of the state of the jurisdiction in which it is organized with full power and authority to own, lease and operate its properties and to carry on its business as presently conducted by it. Schedule 5.1 hereto sets forth all states and other jurisdictions in which the Seller is duly qualified and in good standing to conduct business. There are no other states or jurisdictions in which the character and location of the properties owned or leased by Seller, or the conduct of its business, make such qualification necessary. True and complete copies of Seller's Certificate of Limited Partnership and all amendments thereto have been furnished to Buyer.
